KUALA LUMPUR: Hibiscus Petroleum Bhd has proposed to acquire the entire equity interest in TotalEnergies EP (Brunei) B.V. (TotalEnergies Brunei) for a total cash consideration of US$259.4mil.
In a filing with Bursa Malaysia, Hibiscus Petroleum said its wholly owned subsidiary Simpor Hibiscus Sdn Bhd entered into a conditional share purchase agreement (SPA) with TotalEnergies Holdings International B.V. for the proposed acquisition of TotalEnergies Brunei.
Hibiscus Petroleum said the proposed acquisition is for TotalEnergies Brunei’s 37.5% operated interest in the MLJ field, a high-quality gas asset located offshore Brunei.
Located in a hydrocarbon-rich area, the asset was discovered in 1989 and has been producing gas and condensate since 1999. It has production rights up to 15 years, expiring on Nov 23, 2039, if extended by the joint venture parties.
Other parties holding the remaining interest in the Asset are Shell Deepwater Borneo Limited (35.0%) and Brunei Energy Exploration Sdn Bhd (27.5%), a company ultimately owned by Brunei Minister for Finance Corporation.
Hibiscus Petroleum said this asset is expected to add a net of up to 21.7 MMboe to the group’s 2P reserves, an increase of 36% from 60.9 MMboe to 82.6 MMboe as at Jan 1, while total daily net production of oil, condensate and gas is expected to increase by circa 7,865 boe per day from 21,398 boe per day to 29,263 boe per day in CY2024.
“This is expected to bring the gas production share of the group’s portfolio to almost 50%, in line with the group’s energy transition strategy of acquiring gas-weighted assets in stable regulatory jurisdictions. This transaction also represents a significant step towards fulfilling the group’s aspiration of becoming a net zero emissions producer by 2050,” it said.
Managing director Dr Kenneth Pereira said the group has been looking for the right opportunity to enter the Brunei energy industry for some time.
He said the extra volumes from this deal are significant for Hibiscus Petroleum, increasing its gas production by almost 86%. This move brings them closer to their 2026 goal of growing net production to 35,000 - 50,000 boe per day.
“In addition, employees of TotalEnergies Brunei, who have been operating this asset safely and efficiently for many years will be joining the group as part of the transaction. They bring with them a wealth of knowledge and experience. We welcome them and we look forward to working together to enhance the value of the asset safely and efficiently for all stakeholders.
“Most importantly, we are excited by the opportunity to work with our joint venture partners, Shell Deepwater Borneo, Brunei Energy Exploration as well as the government of Brunei,” he said.

KUALA LUMPUR: Hibiscus Petroleum Bhd đã đề xuất mua lại toàn bộ cổ phần của TotalEnergies EP (Brunei) BV (TotalEnergies Brunei) với tổng giá trị tiền mặt là 259,4 triệu USD.
Trong hồ sơ gửi tới Bursa Malaysia, Hibiscus Petroleum cho biết công ty con Simpor Hibiscus Sdn Bhd thuộc sở hữu hoàn toàn của họ đã ký kết một thỏa thuận mua cổ phần có điều kiện (SPA) với TotalEnergies Holdings International BV cho đề xuất mua lại TotalEnergies Brunei.
Hibiscus Petroleum cho biết thương vụ mua lại được đề xuất là dành cho TotalEnergies Brunei nắm giữ 37,5% quyền lợi hoạt động tại mỏ MLJ, một mỏ khí đốt chất lượng cao nằm ngoài khơi Brunei.
Nằm trong khu vực giàu hydrocarbon, tài sản này được phát hiện vào năm 1989 và đã sản xuất khí đốt và condensate từ năm 1999. Nó có quyền sản xuất lên tới 15 năm, hết hạn vào ngày 23 tháng 11 năm 2039, nếu được các bên liên doanh gia hạn.
Các bên khác nắm giữ phần lãi còn lại trong Tài sản là Shell Deepwater Borneo Limited (35,0%) và Brunei Energy Exploration Sdn Bhd (27,5%), một công ty cuối cùng thuộc sở hữu của Bộ trưởng Tập đoàn Tài chính Brunei.
Hibiscus Petroleum cho biết tài sản này dự kiến sẽ bổ sung thêm 21,7 MBoe vào trữ lượng 2P của tập đoàn, tăng 36% từ 60,9 MBoe lên 82,6 MBoe vào ngày 1 tháng 1, trong khi tổng sản lượng dầu, condensate và khí đốt ròng hàng ngày là dự kiến sẽ tăng khoảng 7.865 boe mỗi ngày từ 21.398 boe mỗi ngày lên 29.263 boe mỗi ngày trong CY2024.
“Điều này dự kiến sẽ nâng tỷ trọng sản xuất khí đốt trong danh mục đầu tư của tập đoàn lên gần 50%, phù hợp với chiến lược chuyển đổi năng lượng của tập đoàn nhằm mua lại các tài sản có trọng lượng khí đốt trong các khu vực pháp lý ổn định. Giao dịch này cũng thể hiện một bước quan trọng hướng tới việc thực hiện khát vọng của tập đoàn là trở thành nhà sản xuất không phát thải ròng vào năm 2050,” nó cho biết.
Giám đốc điều hành, Tiến sĩ Kenneth Pereira cho biết tập đoàn đã tìm kiếm cơ hội thích hợp để thâm nhập vào ngành năng lượng Brunei một thời gian.
Ông cho biết khối lượng tăng thêm từ thỏa thuận này rất có ý nghĩa đối với Hibiscus Petroleum, giúp tăng sản lượng khí đốt của công ty này lên gần 86%. Động thái này đưa họ đến gần hơn với mục tiêu năm 2026 là tăng sản lượng ròng lên 35.000 - 50.000 boe mỗi ngày.
“Ngoài ra, nhân viên của TotalEnergies Brunei, những người đã vận hành cơ sở này một cách an toàn và hiệu quả trong nhiều năm, sẽ tham gia nhóm như một phần của giao dịch. Họ mang theo mình rất nhiều kiến thức và kinh nghiệm.
